1. Acceptance

By accessing the BlackKey Intelligence platform ("Platform"), engaging us for advisory or research services, or using any deliverable produced by us ("Deliverables"), you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization.

2. Services

BlackKey Intelligence ("BlackKey", "we") provides strategic research, intelligence briefs, synthesis, and advisory work product. Outputs are derived using BlackKey's proprietary research methodologies, which draw on industry-leading analytical frames (including those associated with McKinsey, BCG, Bain, IDEO, a16z, Palantir, and others) but do not constitute the endorsement or work product of those firms.

3. Intellectual Property

All synthesis, analysis, frameworks, models, prompts, code, and Deliverables produced by BlackKey are the sole and exclusive property of BlackKey unless a separate written agreement transfers specific rights to you. You are granted a non-exclusive, non-transferable license to use Deliverables internally. Quotations flagged as Verbatim in citation drawers are reproduced from third-party sources and remain the property of those sources; you are responsible for honoring their licenses.

4. Acceptable Use

• No reverse engineering, scraping, or redistribution of the Platform.
• No use of Deliverables to train competing AI models.
• No upload of unlawful content or content you lack rights to share.
• No attempts to access other users' data, teams, or engagements.

5. Confidentiality

Information you submit through intakes and engagements is treated as confidential and is not shared with other users. Team-shared engagements are visible only to members of the relevant team according to their role. See our NDA and Privacy Policy for details.

6. Disclaimers

Intelligence outputs are estimates and analyses, not guarantees. We do not warrant accuracy, completeness, or fitness for any particular decision. All material is provided "as is." Decisions made on the basis of Deliverables are at your sole risk.

7. Limitation of Liability

To the maximum extent permitted by law, BlackKey's aggregate liability arising from your use of the Platform or Deliverables is limited to the fees paid by you to BlackKey in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or lost-profit damages.

8. Termination

We may suspend or terminate access for breach of these Terms. You may stop using the Platform at any time. Sections 3, 5, 6, 7, and 9 survive termination.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Wilmington, Delaware.

10. Changes

We may update these Terms. Material changes will be flagged on the Platform; continued use constitutes acceptance.
